The Supervisory Board of Joint Stock Company "National Nuclear Energy Generating Company "Energoatom" (hereinafter referred to as "Energoatom" or the "Company") announces the commencement of an international competitive selection process for the position of Management Board Member responsible for Legal Affairs.

About Energoatom

Energoatom is Ukraine’s largest electricity generation company and the operator of the country’s nuclear power fleet, which provides the majority (>55%) of Ukraine’s electricity and serves as a cornerstone of national energy security.

The Company operates three nuclear power plants — Rivne, South Ukraine, and Khmelnyts’kyi — as well as the Zaporizhzhia Nuclear Power Plant, which remains under Russian military occupation and comprises one of the largest nuclear generation fleets in Europe. In addition to its nuclear assets, Energoatom operates hydroelectric and pumped-storage generation facilities and manages Ukraine’s Centralized Spent Nuclear Fuel Storage Facility.

In 2025, Energoatom generated more than 54 billion kWh of electricity. With approximately 30,000 employees, the Company is among Ukraine’s largest state-owned enterprises and one of the most strategically important organizations in the country.

Energoatom is currently implementing an ambitious program to develop nuclear energy, modernize its facilities, enhance operational resilience, and expand international partnerships. At the same time, the Company focuses on implementing new anti-corruption measures. It continues to strengthen its corporate governance framework, organizational effectiveness, and institutional capability in line with leading international standards.

A Unique Leadership Opportunity

The Management Board Member responsible for Legal Affairsis one of the company’s key executives and plays a strategic role in ensuring Energoatom’s sustainable development, effective corporate governance, and legal resilience. The position involves shaping and implementing the company’s legal strategy, supporting the work of its governing bodies, providing legal support for the Company's compliance with applicable legal and regulatory requirements, and promoting the adoption of leading corporate governance practices.

In this role, the executive not only leads the legal function but also actively contributes to defining the company’s strategic priorities, managing large-scale transformation initiatives, and enhancing the efficiency and performance of one of Ukraine’s largest state-owned enterprises.

The Management Board Member responsible for Legal Affairswill play a central role in implementing OECD corporate governance principles, supporting the development of the Company's internal control framework, strengthening legal risk management of the Energoatom’s operations. The role includes legal oversight of major investment programmes, international partnerships, and the Energoatom’s activities in the electricity market, as well as close cooperation with relevant ministries, regulators, international financial institutions, donors, and strategic partners.

This is a role for a leader capable of building a modern legal function aligned with international best practices – one that serves not only as a business support function but also as a strategic partner to the Management Board and Supervisory Board. The role is responsible for providing the legal foundation necessary to support the Company’s long-term strategy, sustainable development, and effective corporate governance.

The Leadership Challenge

The position of Management Board Member responsible for Legal Affairs requires operating in an environment of uncertainty and the complex challenges associated with martial law, where it is essential to simultaneously safeguard the Company’s legal resilience, support the delivery of its strategic priorities, and contribute to the transformation of one of Ukraine’s largest state-owned enterprises.

The Company is simultaneously ensuring the reliable operation of Ukraine's critical energy infrastructure during wartime, transforming its corporate governance framework in line with OECD principles and EU standards, delivering major nuclear investment programmes, preparing for the construction of new power units and the deployment of advanced nuclear technologies, deepening its integration into the European energy market, and expanding cooperation with international financial institutions and strategic technology partners.

Success in this role requires the ability to combine strategic legal leadership, high standards of corporate governance, an outstanding professional reputation, and proven experience in leading complex transformation and investment programmes. The successful candidate will be able to balance public interest, commercial objectives, international best practices, and the highest standards of safety.

Candidate Profile

The Supervisory Board is seeking a strategic leader with deep expertise in corporate governance, legal advisory, capable of ensuring the Company’s legal resilience, maintaining the highest standards of integrity, and fostering effective engagement with governing bodies and regulatory authorities.

The successful candidate should have extensive experience and demonstrated expertise in advising organisations on legal and regulatory requirements applicable to anti-corruption, integrity, ethics, and compliance. Candidates should possess a comprehensive understanding of the international and Ukrainian legal frameworks, standards, and best practices relevant to Energoatom, including applicable Ukrainian anti-corruption legislation and regulations, international anti-bribery and anti-corruption standards, and the requirements and expectations of relevant international financial institutions and foreign partners.

The successful candidate should have proven experience leading a legal function within large and complex organizations, demonstrate strong leadership capabilities and strategic thinking, and possess the ability to drive change in a challenging and evolving regulatory environment.

The successful candidate will demonstrate:

▪ strategic thinking and the ability to develop and execute the Company's legal strategy in line with its long-term objectives;

▪ high standards of personal integrity, independent judgement, and an outstanding professional reputation;

▪ the ability to make sound legal decisions in complex, high-risk, and high-profile environments;

▪ strong understanding of corporate governance, including the role of the Supervisory Board, internal control, legal risk management, and compliance frameworks;

▪ a comprehensive understanding of Ukrainian and international anti-corruption, anti-bribery, integrity, ethics, and compliance standards, including the requirements and expectations of international financial institutions and foreign partners;

▪ the ability to provide legal support for the Company's compliance with national and international legal and regulatory requirements while supporting the implementation of ESG principles and sustainability initiatives;

▪ excellent stakeholder management and negotiation skills, with the ability to work effectively with the Supervisory Board, the Management Board, government authorities, regulators, international partners, and other key stakeholders;

▪ the ability to build and lead a high-performing legal function, developing a strong team and ensuring consistently high standards of legal support across the Company.

Given the nature of Energoatom’s operations, demonstrated experience in the energy sector, utilities, industrial manufacturing, high-technology industries, transport, defence, or other highly regulated is a mandatory requirement.

The Supervisory Board is seeking candidates with extensive experience leading the legal function of large and complex organisations, together with a proven ability to provide strategic legal leadership for major transformation programmes, large-scale investment projects, international partnerships, and corporate reforms. Candidates should have experience working in highly complex, capital-intensive, and strategically important organisations where safety, transparency, and strong corporate governance are fundamental to long-term success.

Particular advantage will be given to candidates who have led legal functions or played a key role in strengthening corporate governance, compliance, risk management, and anti-corruption frameworks.

Candidates who have experience in developing, implementing, and overseeing effective anti-corruption compliance programmes; identifying and mitigating corruption and integrity risks; advising on conflicts of interest, related-party transactions, procurement, third-party due diligence, gifts and hospitality, whistleblower protections, investigations, and other areas presenting heightened compliance risk will be considered a significant advantage.

Experience advising Supervisory Boards, supporting major investment programmes, international partnerships, and cross-border operations, as well as engaging with government authorities, regulators, international financial institutions, and other international organisations, will be highly valued.

Experience in the energy or nuclear sectors, infrastructure, industrial or high-technology manufacturing, transport, defence, or other highly regulated and capital-intensive industries will be considered a significant advantage. Experience implementing OECD corporate governance principles, international compliance and ESG standards, as well as advising strategically important state-owned enterprises, will also be highly valued.

Highly desirable experience includes:

▪ leading the legal function of large corporations or state-owned enterprises;

▪ providing legal leadership for major investment programmes, greenfield developments, international contracts, and business transformation initiatives;

▪ designing and developing modern corporate governance, internal control, legal risk management and corporate ethics frameworks;

▪ implementing corporate governance principles in line with the OECD Guidelines and European best practices;

▪ engaging with government authorities, regulators, international financial institutions, international partners, and external legal advisers;

▪ supporting cross-border business activities, international cooperation, international projects, and relationships with international financial institutions;

▪ protecting the Company's interests in complex litigation, international arbitration, and regulatory proceedings;

▪ operating in highly regulated industries with demanding requirements for safety, reliability, transparency, and public accountability;

▪ providing legal support to organisations operating in the energy sector, critical infrastructure, or other strategically important industries; and

▪ implementing international compliance standards, integrated management systems, and ensure compliance of the Company’s operations with applicable international and national standards.

The successful candidate must possess fluent Ukrainian and possess a high level of English proficiency, sufficient to engage effectively with the Supervisory Board, government authorities, regulators, international financial institutions, strategic partners, and other key stakeholders.

Strategic Mandate

The Management Board Member responsible for Legal Affairswill be responsible for developing and executing the Company's legal strategy, while ensuring an effective framework for corporate governance, internal control, and legal risk management.

Key priorities will include:

▪ develop and implement the Company’s legal strategy in alignment with its long-term objectives and strategic priorities;

▪ lead and coordinate the Company’s legal function, including contract management, legal support of business operations, legal risk management, and the protection of the Company’s interests;

▪ provide legal support for the Company's compliance with applicable laws and regulations, internal policies, and internationally recognized corporate governance standards;

▪ provide legal support for the implementation of the Company’s corporate strategy, transformation initiatives, investment projects, and international cooperation activities;

▪ ensure the implementation and continuous development of the corporate governance framework in line with OECD principles and international best practices;

▪ provide legal support to the Supervisory Board, its committees, the Management Board, and the corporate secretariat, including the organization and management of corporate governance processes;

▪ ensure the transparency, accountability, and effectiveness of corporate governance processes;

▪ develop and maintain an effective compliance, internal control, and compliance risk management framework;

▪ ensure that the Company’s legal and compliance frameworks reflect evolving international standards and best practices and are effectively integrated into Energoatom’s corporate governance framework, business operations, and decision-making processes;

▪ provide legal support for the Company's compliance with anti-corruption legislation, sanctions requirements, AML regulations, corporate ethics standards, and measures aimed at preventing conflicts of interest and fraud;

▪ promote and strengthen a culture of integrity, including the implementation of ethical standards and oversight of their adherence across the Company;

▪ provide legal support in the Company’s interactions with government authorities, regulators, and other public institutions, while monitoring legislative developments and assessing their impact on the Company’s operations;

▪ provide legal support for the Company’s activities in domestic and international markets, including foreign economic activities, international trade, export-import operations, customs matters, and foreign exchange regulation;

▪ oversee claims and litigation management, court proceedings, and the coordination of external legal counsel;

▪ provide legal support for the implementation of ESG, sustainability, and other strategic Company initiatives;

▪ build, develop, and ensure the effective performance of the legal function, including team development and the implementation of modern processes and management tool.

The Supervisory Board will maintain its oversight and governance role following appointment, including through regular performance reviews and accountability mechanisms consistent with the Company’s corporate governance framework and applicable law.

The Supervisory Board and Chairperson of the Management Board will make the final appointment decision following a comprehensive assessment of candidates against the Company’s strategic needs and its critical role in Ukraine’s energy future.

ODGERS will conduct the search for candidates, assess their managerial and leadership competencies, and provide support to the Supervisory Board throughout all stages of the competitive selection process.
