Corporatization of Energoatom: from draft law to implementation

Preparations for the corporatization of Energoatom have been underway since 2013 but during the past two years, the movement in this direction has accelerated significantly, which has led to a positive result.

October 19, 2022, can be considered the start of the active process of the corporatization of SE “NNEGC “Energoatom”. On that day, the Verkhovna Rada of Ukraine adopted in the first reading a draft law on the transformation of the state-owned enterprise into a joint-stock company “NNEGC “Energoatom”, 100% of which will be owned by the state. Almost four months later, people's deputies passed the bill in the second reading. As early as late February 2023, the Parliament finally approved the corporatization of Energoatom while President of Ukraine Volodymyr Zelenskyi signed the relevant law.

This step corresponds to our country's international commitments to bring the governance of state-owned enterprises in line with the best international standards. The law takes into account all the peculiarities of the Ukrainian nuclear industry in the transition to a modern corporate governance model.

Note that Zaporizhzhia NPP remains a part of Energoatom. Its property will be transferred to the authorized capital in the same way as the property of other separated divisions. The only difference will be that an independent assessment of ZNPP property will be carried out only after the plant de-occupation. It is also worth noting that all Zaporizhzhia NPP personnel who have not betrayed Ukraine will be paid regardless of their work schedules.

According to the corporatization plan approved by the government in late June 2023, the process participants have to carry out a set of activities in stages.

The most important of these are the following:

   • complete inventory of the company's property   (completed);
   • selection of an estimating entity to conduct an independent property valuation (completed); 
   • conducting the valuation, approving its results, preparing draft government decisions, etc. (the current stage of the process);
   • approval by the founder of the constitutive corporate documents of the newly established company and other acts for its Supervisory Board formation, state registration of the newly established legal entity. November of this year should be a milestone in this regard;
   • formation of the Supervisory Board and election of the company's executive body (scheduled for December 2023 – March 2024).

Therefore, the President of Energoatom and the entire management of the Company continue to work on corporatization, making every effort to ensure that this process takes place under the deadlines set by the government. After completing all stages and establishing the Supervisory Board and the Management Board in a joint-stock company, Energoatom will become the best example of corporatization in Ukraine.
